that he regulated (CA and HD), left the CA board
in JUL02 after 8yrs svc(?) while CA was under
investigation for the accounting irregularities,
and Grasso (et al CA dr) failed to disclose (AUG03)
properly CA stock awards. Makes one nervious about
why CA just issued 20 million or so in convertable
debt to cover stock for directors.

Fmr CA board member "Dick" Grasso (CEO of NYSE) is under fire.

holders two days before the share holder meeting this
week. The company will pass out 5.7 million shares of stock
to stockholders and in return the stockholders will
drop the suits. Wish I could print my own money.
It's actually a good thing to re-focus mgmt on things like
may be software. Besides the $144m accounting charge
is only $97m after taxes.
Anyway,Reuters reported that CA re-elected its board and
gave them the big raise. Sanjay said the raise was fair
because they had to meet at least four times a year.

Sanjay is liable now if the numbers aren't true)
The balance sheet numbers were very positive
on long term debt. CA has paid off and/or
restructured debt to give it a couple of years
breathing room on the 2.3 billion outstanding
The potential balance sheet problem is now
goodwill impairment. The board looked at that
issue not long ago, but I don't recall at what
level of independence. The board was satisfied
with the numbers at the time. (CA had pursued rapid
amortization of the Sterling purchase et.al.)
What was surprising at the time was that the only
tech companies that did not decline in value when
the bubble burst were the ones that CA had purchased.
That and the nice state contracts are probably
why we will never see a decline in the Advantage Gen
license fee structure.

Talking heads are calling it a bumble-bee rally. In theory
that insect can't possibly fly, but it does (so much for theory)
Sanjay brought a young Ex-oricle exec on board as srveep prod dev
to watch over r&d. Last time I looked, the entire Advantage
line (including Gen) represented only about 4% of CA revenue.
Maybe Gen will get a look-see. The guy's name is Barrenechea.

06/10/03AM - CA was off a buck yesterday to 23.04. The stock
traded in the 21 to 22 range from May 22 to Jun 3, then
broke up again on Jun 4. Haven't seen any news to account
for the dramatic rise over the last month. There is some
talk of long awaited consolidation in the IT industry
but the only buyer I can see is IBM and I don't think
they are interested. The DOW30 had a rare (of late) down day.
It was off 82.79 to 8,980. The close for the last three trading
days has been above 9k.

closing at 19.77 up .32 on average volume. The DOW 30 ended
off a couple of bucks at 8,491.36
05/19/03 - CA eased back another 53 cents today. A technicial

to 8493.39

The DOJ/SEC issued another pair of subpoenas in its
probe of CA accounting. The Q4 GAAP number was a loss of
$106mil (.18/shr) which was better that the $238mil loss
(.41/shr) this time last year. The DOW 30 was down 31.43
to 8,647.82. Yields on the current benchmark 10 yr govmt bonds
are at the lowest levels since 1958. Yields on the old

Sanjay recruited fmr EDS vice-chair Gary Fernandez to the
board. This guy just may be able to provide some of the
guidance that Sanjay needs. He understands software, he
understands services, he has the experience to understand
governance and he's young enough to be around for a while.
The only downside is that he left EDS to chair Grocerywork.com
05/12/03PM - Volume was quite lite today but CA still

at the close on Wednsday, CA traded around 17 all of last

report quarterly earnings in a conference call on Wednsday.
The DOW 30 closed Friday at 8604.40 up 113.38
05/01/03 - CA is apparently engaged in another one of those
remarkable runs, closing up .48 today at 16.72. We are
approaching the Dec high. The DOW 30 has not fared quite
as well. It never made positive territory but still closed
114 points off the low down 25.84 at 8454.
04/30/03 - Out of pocket for a few days and CA goes wild. The
stock closed today at 16.24 up 1.46 since the last entry
and .49 on the day on fairly heavy vloume. The DOW 30

04/09/03 - CA ended today unchanged at 13.50 on low
volume. The DOW30 declined about 100 pts to close at
8197.94. The markets may be beginning to consider
factors other than progress of the 3rd ID in making decisions.
04/04/03 - Russell Artzt exercised options for 9873 shrs of CA
stock on 3/31/03 at a cost of 7.59 per shr. He's had that option
since at least 1994. As a co-founder he has 1,467,743 shrs
(plus 24,079 401k shrs). Sanjay was awarded options for
700,000 shrs(strike 13.83, annual vesting at 34%,33%,33%).
That makes him three times more important than Ira Zar, CFO
(225,000 shrs) and 93 times more important than Robert Lamm
- the new corporate governance guy (7,500 shrs)
Options were granted to a few other folks also. Perhaps they
all should enlist. The market only seems to move in response
to war news just now. Our crack management team immediately
set about increasing the stock price by laying off 450 folks
(not to worry, they are going to hire salespeople) and
merging presales techs into professional services and
calling the results Technology Services.

the contracts don't make money until the price gets
above 13.85). If memory serves, this is the second
such block in the last week or two. The bet is on CA
earnings which are due out after market close tomorrow.
The Dow continued its rally gaining 215.84 at 8538.24.
Advantage Gen 6.5 made the financial press today.
PrNewswire reported on the wonders of the product.

(as promised) someone important. William Stavropoulos
is chairman of DOW Chemical. he also sits on three other
corporate boards and three non-profit boards. He is also
a trustee of Fidelity which owns 3% of CA. Don't expect
to get much work out of this guy, other than attending
meetings. Looks like he simply has too much other stuff
on his plate.
10/16/02 - After climbing from 9.02 to 11.75 in six days
CA stock closed down .64 at 11.11 today. The Dow also
backed away from yesterdays gain to close down 219.64
at 8036. The catalyst appeared to be Intel's weak earnings.

10/07/02 CA closed at 9.03 down .17 on the day. The stock
touched the $9 level for the fourth time since Sep 22 and
managed to bounce back each time. If one were a technical
analyst, one might postulate that a short term resistance

their investigation.
AP reported yesterday that Sanjay had to explained the $10 million
Wyly payoff to a group of institutional investors. The audience was
described as "somewhat hostil". The terms gunslinging, terrorist
and greenmail appeared in the article.
The California contingent (calipers) pointed out that the receint

resulted from Wyly's moves and that owners, not managers
should make decisions about who runs the board.

to fmr shareholders of On-Line Software, a 1991 acquisition. (CA had

that CA was caught playing fast and loose. CA closed today at 11.11

bumpier that the numbers implied. Much of the week was spent in the
10.30 to 10.60 $/shr range.
9/1/02 - One result of the tumbling E is that insiders must report stock
transactions much more promptly. Walter Schuetze bought 5k CA shrs on
8/22 at 12.84 per. He managed to come within a few pennies of the high
for the month. CA closed August at 11.20. Statistically speaking September
is the worst month for the DOW (even before. Sept last) The CA annual
stockholders meeting did not appear to produce anything that had
any meaningfull impact on the market.
08/24/02 - Although down 180 pts for the day, the DOW which closed

Red by too much. The three caviats are: 1)Late August is the
traditional vacation time for much of the street. 2) All the
accounting scandal cards may not have been played yet. In a FT
report yesterday CA was cited in the context of channel stuffing
(marketing speak for {ac}counting your chickens. The stock
3) has lost almost 81% of its value since the 52 week high
of 38.74. (Jan 24)

Richards bought 5k @ 7.95 on Jul 24, R. LaBlanc bought 1k
@ 8.64 on Jul 29 and D'Amato bought 30k @ about 8.73 on
Jul 29. The markets have been kind of late. CA is up about
12% since around noon Wed. Thursdays close was 10.31
(PM) Friday's close was 10.33 for a gain of 11.67% on the week.
08/09/02 - CA was up a nickle today at 9.25. The DOW was up
for the fourth straight session. Sanjay and Ira Zar signed off on
on quarter ending June 30 financials as required by the SEC
according to Routers. Director L.S.Rainieri bought 60,000 shrs
at aprox 8.08 per on Jul 24.
08/02/02 - CA closed down .06 at 9.00 on a day that the Dow
lost just under 200 points.
07/30/02 - CA got lots of positive exposure today on the talking
head shows (CNBC) about the decision to expense options.
The stock was up 1.05 to 9.75. Dow was down a smidgen.
07/29/02 - The dow was up a bit today (477 pts 5.41%). CA
closed up .60 at 8.70(7.4%). Good News: CA will expense stock options
Bad News: Not effective until next April 3 (see 07/17/02 note)
07/26/02 - CA closed at 8.10 today. That was up .49
from yesterday. Some analysts questioned Sam's motives
after he promissed not to bug Sanjay et.al. for five
years in return for his "fee".
07/24/02 - CA bought off Sam for $10 Million. That is
about what last years chalange cost him. The DOW poped up
almost 500 points today. CA closed at 8.49.
07/23/02 CA closed today down 2.12 at 8.08 after trading
intraday at 8.00 (a nine year low). The hit was due to
multiple analysis down grades and lowered CA guidance.
07/22/02 - CA closed today down .04 at 10.21. According to
Reuters, The company reported a loss of .11/shr (GAAP) and a
loss of .02 (pro forma.) Both numbers were much better than last
year. The street had expected earnings to be flat.
07/19/02 - When the markets opened on 9/21/01, the first
post 911 trading day, the dow traded as low as 8,062 (intraday) and
ended the day at 8,235. Today the intraday low was 7,966.
the dow closed down 390 at 8,019. CA closed down 1.84 at 10.25.
CA will report quarterly earnings on Monday. CA should have a
webcast link on their site.
Sam and Perkey had to choose another board member to unseat since
one of their targets resigned. They are going after Thomas Wyman.
Mr. Wyman appears to have more experience as a director of major
corporations than anyone else on the board. Maybe he just does not
have enough experience as a CA director. He was appointed Tuesday.
07/18/02 - CA closed today at 12.09.
07/17/02 - The New York Times reported today on receint CA SEC filings.
CA wants stock holders to grant authority to issue 45 million options
(in addition to the 84 million options already issued and/or authorized.)
CA Shares outstanding are currently 578.51 million. (do the math)
Sanjay got a 100K raise to $1 million. Wang took a pay cut to $700K.
Not to worry, if cash gets tight they can fall back on their
respective $300 million and $600 Million stock grants.
(Wonder where the new options will go?)
CA's is also shuffling its board. Four longtime outside dirctors
are leaving due to term limits. The new candidates will bring
in much needed international, telecom, dotcom, multimedia,
Harvard and CEO training expertise.
CA was trading today at 12.96 just before the close.
07/15/02 - Last week was the worst for the DOW since the
markets reopened following 9/11. CA closed Friday at 13.56
07/04/02 - CA closed at 14.90 yesterday. The stock traded as low
as 13.69 on Tuesday. (had not been there since late 1994).
The markets are closed today and Friday will be a short session.
06-27-02 - The WSJ reported today thay Sam Wyle will engage Wang
(et. al.) on Aug 28 at the CA stockholders meeting. (He filed
this morning.) His slate of candidates looks stronger
(if memory serves) this time around. He is going after
the seats held by Wang, Kumar, Artzt, D'Amato and de Vogel with
Steve Perkins, Richard Agnich, Max Hopper, Ronald Robinson and Cece
Smith. I've included links to the Wyly and CA press releases below.
CA closed yesterday at 16.00, today it gained a quater.
06/21/02 - Three directors expressed confidence in CA by buying
shares receintly on the open market. Schuetze bought 1000 @ 17.65
on May 21, Roel bought 20,000 at 17.3 on May 23 and Ira Zar bought
5000 @ 16.64 on Jun 5. CA closed today at 15.62
06/14/02 - CA closed the week at 17.08, about where it
closed last week. The Dow was down for the week. This week
Bank of America (which started life in California as Bank
of Italy) initiated coverage of CA with a buy recommendation
and a price target of $23
05/31/02 - CA closed the week at 17.36. The company will web
cast it's quarterly financial analysts meeting on Monday.
The cast is available at ca.com/invest
05/28/02 - This weeks Economist reported that Ranger (i.e. Wyly)
is preparing another assult, this time directly on the CA Board.
(Last years battle netted only 25% of the vote by targeting CA
sales and services practices.) Times have changed. Wang and Wyle
both claim to be changed men, but both have long standing (and
quite similar) reputations to live down. CA closed (essentially)
unchanged today at 17.53.
05/24/02 - CA Closed the week at 17.55 in a down week for the
dow. Reuters reported that 13 of the largest 20 holders of the
stock have done some dollar cost averaging. The two largest
holders (Fidelity & Walter Haefner) have reduced their exposure.
05/19/02 - CA Closed the week at $17.56. The board made some
governance changes based on recommendations by the new Harvard guy.
Max inside directors set to 3 and a lead outside director
appointed (one year term). Will provide some continuity
if SEC/DOJ investigation forces CW & SJ out. Two
balance sheet problems will hit in the next two years.
On the liability side lots of long term debt is comming
due. On the asset side the company did not
adopt SFAS 142 until Apr 1. I suspect goodwill
imparement will become an issue.
05/15/02 - CA broke even on a "lets pretend" (pro forma) basis.
The sort of real number was a loss of $.41 per share which was
much better than the $.71 loss in Q4 fy 01. I used the term
sort of
because I doubt that CA accounts for options as a cost. (that's
allowed under gaap) CA closed yesterday at $19.10. Today
the SEC & DOJ formalized their investigation into CA's
accounting practices (re the big bonus). Ca closed at $17.75
05/10/02 - CA closed the week at $17.40, about the midpoint
of the days trading range. Reuters reported that Fidelity
sold 31.9 million shares in the first four months of this year.
They still have a 6.5% stake. CA reports earnings next Tuesday.
05/03/02 - CA closed last week at 18.01 up $.16 on a day
that many software stocks lost ground. Saw no significant
CA news last week
04/28/02 - CA closed the week at $18.00. The week was grim for
The Dow in general and Software in particular. CA did settle
a DOJ inventigation re the Platinum merger by paying a $638,000
fine. The DOJ investigation re CA inflating revenue's so that
Sanjay et. al. could share a $1 billion bonus is still open.
The board battle last year cost Sam $10 million. Haven't seen
anything to indicate that he's reaching in his pocket again.
04/19/02 - Justice opened then closed an investigation into the Sterling
purchase this week. CA closed 19.11 up .62 on the day.
04/16/02 - Charles Wang exercised stock options for 46,910 shrs on
the 13th and Ira Zar did the same on the 15th for 3,037 shrs. The shrs
cost them about $4.26 ea. CA stock closed today at $19.80
04/15/02 - Reuters reported that Prudential cut its rating from
buy to hold on CA. Stock is at 19.60 down 1.58 from Fri. close
04/09/02 - Bloomberg reported yesterday that CA's expect loss
last quarter (the sixth is a row) will be less than expected
(pro forma). The article also suggested that CA was selling more
low cost soft ware and less high cost software (...do tell)
I wonder if Advantage Gen pro-rata booked revenues reflect that?
CA stock was at 20.60 around midday today.
03/28/02 - CA ended the quarter at 21.89, up 1.13 on the day
No important news that I saw other than the Board Thing and the Wyly thing
Other Companies that were badly beaten up this quarter also did well.
03/27/02 - Reuters reported yesterday that BusinessWeek declined to
rank CA and four other companies (also under SEC investigation) in
its annual S&P 500 ratings issue. Apparently BusinessWeek "couldn't
take at face value some reported numbers". Separately CA appointed
an Accounting superstar to the board and Sam Wyly may be preparing
for a fight again. CA also apointed a governance guy to the board
to replace the member that was appointed the last time Wyly tried
to unseat board members.
03/23/02 - CA closed the week at $20.49. Most of the gain came on
Tuesday. Didn't see any news then but Zacks later upgraded the
stock based on projected earnings. Not to be outdone by Sanjay,
03/14/02 - CA closed the week at $18.50. A class action suit
was filed in N.Y. (this week?) against CA. The law firm is
apparently still looking for a lead plaintiff(s). One of
the allegations is that CA must have forgotten to back out
previously claimed license revenue when it introduced it's
new revenue reporting business model (Is that double dipping?)
CA is on the cutting edge of accountng. Not only does it report
pro-forma (i.e. "as if" some might say "lets pretend") but
also it reports revenue pro-rata. One analyst on a talking
head show suggested a recently reported $4.00 profit could be
converted to a $.50 loss using Generally. Accepted Accounting
Principles (GAAP). CA is also ahead of the curve in recent
suggestions that auditors be periodically changed. CA used E & Y
in 1999 and KPMG in 2000 and 2001. FY 2002 ends this month.
Sanjay Kumar (who sold 2,395,239 shares on 02/22/02 at 15.31 per)
stands firmly behind the company's accounting methods.
03/09/02 - CA closed the week at 18.65. The stock may have been up on
reports of insider buying. Mr. RANIERI (Director) paid about 15.81 for
65k shrs. on 02/22. Mr. QUINN (officer) paid about 15.25 for 3k shrs
on the same day. Mr. D AMATO (Director) paid about 17.93 ea for 30k
shrs on 02/26. Separately, Mr. ARTZT (officer and director) sold 200k
shrs on 01/30 for about 7.1 million (35.37/shr.) Those shares cost
him 1.8 million on 12/19/01 (stock option exercise)
03/01/02 - CA closed at $16.90 today up .62 on the day. After the
close, Reuters reported that Moody's down graded CA's 3.4 billion
in senior unsecured debt one tick. The downgrade will make
re-financing debt more expensive.
02/22/02 - Sanjay Kumar apparently confirmed to Reuters today that
both U.S. Attorney's office and the Securities and Exchange
Commission were investigating Computer Associates. CA stock
hit an intra-day seven year low and closed down 15.9% or $3
to $15.90. CA was the most actively traded stock on the NYSE.
